The American Association of Singapore Board of Directors is putting forth the following amendment modifications for vote at the upcoming Annual General Meeting (AGM) on February 24th:
Article III, Sec 1 –
The four officers and five directors at-large of the Association shall be elected by a majority of the membership present at the Annual General Meeting and shall take office immediately upon election. The officers and directors are eligible for re-election.
Article III, Sec 3 –
The officers of the Association shall be as follows: President, Vice President, Secretary, and Treasurer.
Article III , Sec 4 –
The Board of Directors of the Association shall consist of the officers, five directors at- large and the following:
The Chairman of the Singapore American School Board;
The President of the American Women's Association;
The American Ambassador, or his appointed representative;
The President of the American Club;
The immediate past President of the Association, if resident in Singapore;
The Chairman of the American Chamber of Commerce;
The Chairman of the Singapore American Community Action Council;
The senior ranking officer of the U.S.A. military establishment resident in Singapore.
The American Ambassador or his appointed representative and the senior ranking officer of the USA military establishment resident in Singapore shall be non-voting members of the Board.
The rationale for the changes is:
· Eliminate second and third Vice Presidents and revert to five directors at-large in order to simplify structure and eliminate implied hierarchy.
· The roles of 2nd and 3rd Vice President have no specific responsibilities defined in either the Constitution or the By-laws.
· Correct title of Chairman of Singapore American School Board.
· Permit the past President to be a Board member only if he is resident in Singapore to provide clarity in the rules for Board members and ensure relevant participation.
· Eliminate the ambassador and senior ranking US military officer as voting members to comply with US government legal requirements
To vote on this constitutional amendment, all American AAS members are asked to attend the AGM on February 24th at the American Club.
